Dear KHAS Member,
We are writing to invite you to a General Meeting of KHAS.
- Date: 8 September 2025
- Time:7:30 pm
- Location: Kenilworth Senior Citizens’ Club, Abbey End
At this meeting, members will be asked to vote on the following special resolution: to approve the application for our association to become a Charitable Incorporated Organisation (CIO), and to adopt a new constitution based on the Charity Commission’s model.
Why this matters:
Becoming a CIO would allow us to:
- Provide a stronger legal structure for our work
- Limit the personal liability of committee members
- Modernise our governance in line with Charity Commission standards
We encourage all members to attend. Your voice and vote are essential to this important step in our development.

You may notice that Margaret Kane does not appear in the list of proposed trustees. This is because she intends to retire from the committee at the next AGM.
Voting
One-third of the members must be present to constitute a quorum for the meeting, and the vote must receive at least75% approval for the resolution to be passed.
Votes must be cast in person at the meeting. Postal and email votes will not be accepted.
If you are unable to attend and would like to vote by proxy, please contact us by email (contact@khas.co.uk) by 5 September 2025, telling us who will vote on your behalf.
